Terms of Service

Welcome to Sukoya Design Works! These Terms of Service ("Terms") constitute a legally binding agreement between Sukoya Design Works, LLC ("Sukoya Design"), a Limited Liability Company organized under the laws of the State of Delaware, and the Customer ("Customer"). By accessing or using our services, you agree to comply with and be bound by these Terms. If you do not agree, you must discontinue the use of our services immediately.


1. Agreement Overview

Failure to agree to and adhere to all terms, conditions, and obligations contained herein results in the prohibition of the Customer's use of the Services, requiring immediate discontinuation. Except for ongoing obligations, such as payment for services rendered, the relationship between Customer and Sukoya Design shall cease upon termination of this Agreement.


2. Service Plans

2.1 Subscription Model

Sukoya Design Works offers flexible service plans designed to support clients with ongoing design and development needs:

  • Design Partner: Provides dedicated design support with a monthly subscription model. A partially dedicated designer will work on requests with updates every 48-72 hours. Clients can schedule a weekly or monthly check-in call to ensure project alignment.

  • Custom Engagements: For more complex projects requiring specialized attention, a fully managed approach is available. Clients receive access to a dedicated designer and tailored service packages, with updates provided regularly via written reports or Loom videos. Weekly check-in calls can be arranged as needed.

Sukoya Design reserves the right to adjust, enhance, or revise service offerings at its sole discretion. Clients are encouraged to review these Terms periodically to stay informed of any updates.


3. Cancellation and Renewal Policy

You can cancel your subscription at any time by contacting us using the contact information provided below. Your cancellation will take effect at the end of the current paid term. Given that design resources are allocated based on anticipated continuation, refunds are not offered once work has commenced.


4. Acceptance of Work

Sukoya Design provides a review period of three (3) business days following the delivery of design work. If no feedback or revision requests are received within this timeframe, the work will be considered accepted, and the team will proceed with the next task. Clients are encouraged to provide timely feedback, but iteration remains a core part of the process.


5. Intellectual Property Rights & Ownership

5.1 Transfer of Ownership

All works created specifically for the Customer during a given billing cycle become the Customer’s property upon the commencement of that cycle’s service. This includes but is not limited to branding assets, website designs, and custom graphics.

Sukoya Design retains rights to its underlying frameworks, templates, and proprietary tools. The Customer assumes full responsibility for ensuring any required third-party assets (such as licensed fonts) are legally acquired.

5.2 Fonts & Third-Party Assets

If a project includes fonts or assets requiring a commercial license, the Customer is responsible for purchasing the necessary licenses.


6. Customer Representations & Prohibited Activities

By using Sukoya Design’s services, the Customer represents that they have the legal capacity to enter into this Agreement and will not:

  • Violate any applicable laws or regulations.

  • Access services through automated or fraudulent means.

  • Use design materials in an unauthorized or illegal manner.

  • Redistribute or resell design work beyond agreed project scope.


7. Feedback & Communication

Customers are encouraged to provide feedback through designated platforms such as Figma, email, or Basecamp. Sukoya Design retains ownership of general feedback while ensuring project-specific revisions align with client expectations.


8. Service Interruptions

While Sukoya Design strives for uninterrupted service delivery, certain delays may occur due to unforeseen circumstances, including but not limited to technical issues or staff availability. Sukoya Design will communicate any anticipated delays and work toward minimizing disruptions.


9. Modifications to Terms & Services

Sukoya Design reserves the right to modify these Terms and service offerings at any time. Continued use of services after updates are posted constitutes acceptance of revised Terms.


10. Limitations of Liability & Indemnification

To the fullest extent permitted by law, Sukoya Design shall not be liable for any indirect, incidental, or consequential damages arising from service use. Clients agree to indemnify Sukoya Design against any claims resulting from misuse of delivered work.


11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles.
